Further Areas of Focus

Beyond transaction-driven and strategic tax work, we regularly assist clients with recurring corporate tax matters, group tax coordination and practical day-to-day tax advisory for both Austrian and international entities.

We advise on the ongoing tax aspects of domestic and cross-border business operations, including operational tax planning, corporate income tax matters, withholding tax considerations and the coordination of international tax positions within group structures. Our work further includes tax compliance coordination, support in connection with accounting and reporting processes, as well as the review and implementation of tax-relevant structures and intercompany arrangements.

In addition, we support clients in communications with tax authorities, the management of recurring tax obligations and the coordination of external advisors across multiple jurisdictions. We also assist with the coordination of legal, tax and financial due diligence processes in connection with transactions, restructurings and investments. We work closely with founders, management teams, finance departments and international groups to provide commercially practical and responsive tax support on an ongoing basis.

We advise clients on tax and transaction matters in connection with restructurings, distressed situations and special situations transactions at the intersection of corporate, finance and insolvency-related matters.

Our work includes the tax and structural assessment of operational and financial restructurings, debt reorganisations, shareholder restructurings, carve-outs, distressed acquisitions and asset transactions. We regularly support investors, founders, creditors, management teams and corporate groups in the planning and implementation of restructuring measures in both domestic and cross-border settings.

In addition, we assist with transaction structuring, tax risk analysis, the coordination of legal, tax and financial due diligence processes, as well as negotiations and implementation processes involving multiple stakeholders and advisors. We also advise on tax aspects of insolvency-related matters, including debt waivers, restructuring gains, liquidity measures, intra-group financing arrangements and the preservation of tax attributes.

Our approach combines technical tax expertise with commercial awareness and practical execution support in complex and time-sensitive situations.

We support international groups, investors and private clients with the establishment and ongoing administration of Austrian SPVs – special purpose vehicles used for specific investments, holdings or transactions – and holding or real estate structures.

Our services include the incorporation and setup of corporate structures, coordination of accounting and annual financial statements, ongoing corporate tax support and the implementation of tax planning considerations within domestic and international group structures. We regularly assist clients with the operational management and coordination of Austrian entities forming part of larger cross-border investment and real estate platforms.

Based on decades of experience in international advisory work, we have built a broad global network of trusted professionals across the areas of legal, tax, financial and corporate administration services.

We regularly coordinate with leading law firms, tax advisors, auditors, fiduciary providers, corporate service providers and financial specialists across multiple jurisdictions in connection with cross-border transactions, restructurings and ongoing international operations.

As an independent advisory firm, we are not affiliated with or tied to any international network organisation. This allows us to assemble the most suitable advisory teams for each mandate without institutional conflicts, exclusivity arrangements or network-related limitations. Our approach ensures flexibility, independence and commercially focused advice tailored to the specific requirements of each client and transaction.

We regularly act as advisor to advisors and support tax advisory firms, law firms and international professional service providers in connection with Austrian and cross-border matters within our core areas of expertise.

In particular, we act as Austrian counsel for international tax and legal advisors without a local presence in Austria and assist with the coordination and implementation of Austrian tax, corporate and transaction-related aspects of cross-border mandates. Our work includes technical tax and structuring advice, transaction support, local coordination and assistance in relation to Austrian regulatory and practical requirements.

In this context, we also provide an efficient access point and coordination hub for Central and South Eastern Europe (CEE/SEE), leveraging our regional network and experience in cross-border advisory matters involving multiple jurisdictions. We work closely with international advisors and their clients to provide responsive, commercially practical and seamlessly integrated support for complex international projects and transactions.

A Note from the Managing Director
Every structure we design is built to withstand the dispute it may one day face.
Andreas Baumann, Founder & Managing Partner

Throughout my career, I have had the privilege of advising entrepreneurs, investors, multinational businesses and family-owned groups on transactions, international structures and complex cross-border matters. One principle has remained constant. Technical expertise alone is rarely enough. The most effective advice combines sound judgement, commercial perspective and a clear understanding of the client’s long-term objectives.

Kallberg was founded to provide exactly that: independent, partner-led advice on matters where tax, transactions and strategic considerations intersect. Our role extends beyond answering isolated tax questions. We work alongside our clients in designing structures, executing transactions and navigating complex cross-border situations with a focus on practical, durable outcomes.

We are not seeking to become the largest advisory firm. Our ambition is to build a trusted platform for clients who value senior attention, thoughtful advice and enduring relationships.
